Effective date: July 7, 2026
Please read these Terms of Service carefully before using the Assure Shift website or engaging our logistics services. These terms constitute a legally binding agreement between you and Assure Shift regarding your use of our services.
1. Acceptance of Terms
By accessing or using the Assure Shift website or engaging our logistics services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, customers, and others who access or use our services. Assure Shift reserves the right to update these terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Services
Assure Shift provides temperature-controlled logistics and cold chain transportation services across Canada and the United States, including but not limited to:
• Fresh produce transportation
• Pharmaceutical and life sciences cold chain logistics
• Frozen bakery and food product transport
• Cross-border Canada–US freight services
All services are subject to availability and the specific terms agreed upon in individual service agreements or quotes. Assure Shift reserves the right to refuse service at its discretion.
3. Quotes and Pricing
Quotes provided through our website or by our team are estimates based on the information you supply. Final pricing is confirmed in writing prior to service commencement. Prices are subject to change due to fuel surcharges, regulatory changes, currency fluctuations, or other factors outside our control.
All prices are quoted in Canadian dollars unless otherwise stated. Cross-border shipments may be subject to additional duties, taxes, or brokerage fees, which are the responsibility of the shipper unless otherwise agreed in writing.
4. Customer Responsibilities
As a customer, you agree to:
• Provide accurate and complete information regarding your shipment, including cargo type, weight, dimensions, temperature requirements, and any special handling needs
• Ensure cargo is properly packaged and labelled in compliance with applicable regulations
• Comply with all applicable laws and regulations governing the transport of your goods, including food safety, pharmaceutical, and customs requirements
• Notify Assure Shift promptly of any changes to shipment details or requirements
Assure Shift is not liable for losses or damages arising from inaccurate or incomplete information provided by the customer.
5. Liability and Limitations
Assure Shift will exercise reasonable care in the handling and transportation of your cargo. However, our liability for loss or damage to cargo is limited as follows:
• Assure Shift's liability shall not exceed the declared value of the shipment or the applicable carrier liability limit under Canadian or US law, whichever is lower
• We are not liable for indirect, consequential, or incidental damages, including loss of profit or market
• We are not liable for delays or failures caused by circumstances beyond our reasonable control, including weather events, road closures, border delays, labour disputes, or acts of God
Customers are encouraged to obtain appropriate cargo insurance for high-value or sensitive shipments.
6. Temperature and Cold Chain
Assure Shift maintains temperature-controlled environments throughout transit in accordance with agreed specifications. However, we cannot guarantee uninterrupted temperature maintenance in circumstances beyond our control, including extreme weather events, equipment failure due to unforeseen circumstances, or delays caused by third parties such as customs authorities.
Customers must specify required temperature ranges at the time of booking. Assure Shift is not responsible for temperature excursions resulting from improperly packaged cargo or failure to disclose temperature requirements.
7. Cross-Border Shipments
For shipments crossing the Canada–US border, the customer is responsible for ensuring all documentation is accurate and complete, including commercial invoices, bills of lading, and any required permits or certificates. Assure Shift may assist with customs coordination but is not a licensed customs broker and does not assume liability for customs delays, holds, or penalties arising from incomplete or inaccurate documentation.
8. Payment Terms
Payment terms are as agreed in your service agreement or invoice. Unless otherwise specified, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower.
Assure Shift reserves the right to suspend services for accounts with outstanding balances.
9. Intellectual Property
All content on the Assure Shift website, including text, graphics, logos, images, and software, is the property of Assure Shift or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this site without our express written permission.
10. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
12. Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration or litigation in the courts of Ontario, as appropriate.
13. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
